Italy: DWS completes Medipass acquisition

Italian healthcare group KOS has completed the sale of Medipass to asset manager DWS through its Pan European Infrastructure III Fund for €169.2m (US$191.9m).

HMi reported on the deal in September.

Acquired by KOS in 2006, Medipass provides cancer care and advanced diagnostic imaging services in Italy and the UK in more than 20 hospitals and clinics.

KOS decided sell the diagnostics provider so that it could focus on its core business of care homes and rehabilitation facilities in Italy and abroad.

DWS Infrastructure, part of the DWS Group, is one of the largest European infrastructure investors with €20.8bn of assets under management at the end of last year.

‘DWS has been monitoring the social infrastructure sector for a long time, targeting opportunities which could be considered both social and economic infrastructure– of which Medipass is a prime example,’ said Walter Manara, managing director, infrastructure at DWS.

‘We identified outsourcing of healthcare services as an attractive sector for our funds, and Medipass stood out as one of the frontrunners and most successful companies operating in this sector.’

KOS was assisted by Mediobanca as sole financial advisor, the Carnelutti law firm as legal advisor, and Deloitte for the vendor due diligence. DWS was advised by Legance –Avvocati Associati as legal advisor, Nomura as financial advisor, DC Advisory as debt advisor, PWC, Rosa & Roubini, Bain & Company and Marsh as due diligence advisors.
