Totally announces proposed acquisition of Greenbrook

Totally plc has announced it is in the advanced stages of a proposed takeover of London-based Greenbrook Healthcare.

The AIM-listed out-of-hours care provider said it had entered into an exclusive agreement regarding the proposed acquisition, which it intends to fund via an equity fundraise. Shares in the company have been temporarily suspended while negotiations continue.

If the deal goes ahead, it will mark another major step in Totally’s ‘buy and build’ consolidation strategy.

Greenbrook is a well-established primary care provider which operates nine urgent care centres alongside walk-in centres and GP practices across the capital and the home counties. It also operates an intermediate community response service designed to keep patients out of hospital in partnership with Hounslow & Richmond Community Healthcare.

Totally has set out ambitious growth plans in the wake of its ‘transformational’ acquisition of out-of-hospital services provider Vocare for £11m in 2017.

The company said the proposed acquisition of Greenbrook would be ‘particularly complementary’ to Vocare, which is one of the UK’s leading providers of integrated urgent care services to the NHS, including GP out-of-hours services, the NHS 111 service and urgent care centres working in conjunction with NHS A&E departments.

Further announcements are expected shortly.
